Early access notice. CRAFT is currently in a private early access phase. The desktop product is provided at no charge during this phase and is subject to change, interruption, or withdrawal. This EULA will be replaced by a commercial end-user license agreement before general availability. Nothing in this EULA is an offer for a priced subscription or a commitment to continue providing the product at the current terms.

This End User License Agreement ("EULA") is a binding agreement between you (either as an individual or on behalf of the entity you represent) and [TBD — legal entity name] ("CRAFT," "we," "us"), a company organized under the laws of [TBD — jurisdiction of incorporation]. This EULA governs your installation and use of the CRAFT desktop product, including the CRAFT add-in for Autodesk Revit and Civil 3D, any updates, documentation, and signed automation artifacts you obtain from CRAFT (collectively, the "Product"). By clicking "I agree" during installation, or by installing or using the Product, you accept this EULA. If you do not agree, do not install or use the Product. Your use of cadcraft.ai itself is governed separately by the Website Terms of Use.

1. Eligibility and Admission

Early access is discretionary. CRAFT reviews every request individually and may decline, suspend, or revoke admission at any time. You may use the Product only if (a) you are at least 18 years old and able to form a binding contract, (b) you have been admitted to the early access program, and (c) you are not barred from receiving the Product under applicable export-control or sanctions law (see Section 12).

2. License Grant

Subject to your compliance with this EULA, CRAFT grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Product on machines that you or your employer own or control, solely for your own internal use in evaluating CRAFT with your own Autodesk Revit or Civil 3D projects during the early access period. If you use the Product on behalf of an organization, you represent that you are authorized to accept this EULA on its behalf, and "you" in this EULA includes that organization.

You retain all rights to your project files, drawings, Revit and Civil 3D models, and any automations you author using the Product ("Your Content"). CRAFT does not claim ownership of Your Content. As described in the Privacy Policy and Security & Trust page, the Product is designed around a local execution boundary: Your Content stays on your machine and is not transmitted to CRAFT’s servers except where a specific feature requires it and you have been informed of that egress through the Preview/Validate Gate.

5. Professional Review Responsibility

The Product is a tool that assists with repetitive CAD and BIM tasks. It is not a substitute for independent review by a licensed or qualified professional. All drawings, models, and engineering decisions produced with the help of the Product remain your responsibility and the responsibility of the licensed professionals on your team. You will not rely on the Product as the sole verification of any engineering, construction, or safety-critical outcome. You are responsible for reviewing every automation in the Preview/Validate Gate before running it.

6. Updates and Changes

CRAFT may release updates, patches, or new versions of the Product at any time. Updates may add, change, or remove features, and may require you to re-validate or re-activate the Product. We may deprecate signed artifacts according to our published deprecation policy. You are not required to install every update, but some updates may be required to continue using the Product safely or to maintain activation.

7. Feedback

If you submit suggestions, bug reports, ideas, or other feedback about the Product ("Feedback"), you grant CRAFT a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, and incorporate the Feedback into the Product or any other CRAFT product or service, without any obligation of attribution or compensation to you. To the extent permitted by law, you waive any moral rights you may have in the Feedback. You remain free to use your own Feedback however you like.

8. Confidentiality of the Early Access Program

During early access you may see unreleased features, roadmap information, pricing discussions, and non-public performance data ("CRAFT Confidential Information"). You will keep CRAFT Confidential Information confidential, use it only to evaluate and use the Product, and not disclose it to any third party without our prior written consent, except as required by law. This obligation survives termination for two (2) years. It does not apply to information that (a) was already known to you without obligation of confidentiality, (b) becomes publicly available without your breach, (c) is independently developed without use of CRAFT Confidential Information, or (d) is rightfully received from a third party.

9. Our Intellectual Property

The Product, including all source code, object code, binaries, the Preview/Validate Gate, the compilation pipeline, cryptographic trust anchors, documentation, and the CRAFT name and logos, is owned by CRAFT or our licensors and is protected by copyright, trademark, trade secret, and other laws. Except for the limited license granted in Section 2, nothing in this EULA transfers any intellectual property rights to you.

10. CRAFT IP Indemnity

Subject to the limits in Section 13, CRAFT will defend you against any third-party claim that the Product, as provided by CRAFT and used in accordance with this EULA, infringes that third party’s copyright, trademark, or trade secret, and will pay amounts finally awarded against you or agreed in settlement. CRAFT’s obligations do not apply to claims arising from (a) modifications to the Product you make, (b) combinations of the Product with software not provided by CRAFT, (c) use of the Product outside the scope of this EULA, or (d) your own content, data, or automations. If the Product becomes, or in CRAFT’s opinion is likely to become, the subject of an infringement claim, CRAFT may at its option procure the right for you to continue using it, modify it to be non-infringing, or terminate this EULA and refund any prepaid fees for the unused portion.

11. No Warranty During Early Access

THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE" DURING EARLY ACCESS. TO THE FULLEST EXTENT PERMITTED BY LAW, CRAFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, TITLE, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE PRODUCT WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT IT WILL PRODUCE A SPECIFIC RESULT IN YOUR CAD ENVIRONMENT. THE GATE DISCLOSES WHAT AUTOMATIONS DO BEFORE THEY RUN; THIS IS A DISCLOSURE TOOL, NOT A WARRANTY OF SAFETY. CRAFT MAKES NO PROFESSIONAL ENGINEERING REPRESENTATION OR GUARANTEE ABOUT YOUR MODELS. NOTHING IN THIS EULA EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, OR FOR ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

12. Export Control and Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive US trade sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions), and that you are not on any US, EU, or UK government denied-party list. You will not export or re-export the Product in violation of US, EU, or UK export-control or sanctions laws.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THIS EULA OR THE PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA OR THE PRODUCT DURING THE EARLY ACCESS PERIOD WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS (US$100) OR (B) THE FEES YOU PAID TO CRAFT FOR THE PRODUCT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO (I) BREACHES OF SECTION 3 (RESTRICTIONS), (II) YOUR INDEMNIFICATION OBLIGATIONS IN SECTION 14, (III) CRAFT’S IP INDEMNITY IN SECTION 10, OR (IV) LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

14. Your Indemnification

You will defend, indemnify, and hold CRAFT and its affiliates harmless from any third-party claim, loss, or expense (including reasonable attorneys’ fees) arising from (a) your breach of this EULA, (b) your misuse of the Product, (c) any automation you publish through CRAFT, or (d) Your Content. CRAFT will promptly notify you of any claim we seek to indemnify, allow you to control the defense with counsel of your choice, and not settle the claim without your prior written consent (not to be unreasonably withheld) if the settlement admits fault or imposes any non-monetary obligation on you. This section does not apply to claims arising from CRAFT’s own gross negligence, willful misconduct, or breach of Section 10.

15. Termination and Data Return

CRAFT may suspend or terminate your early access at any time, with or without notice, if we believe you have violated this EULA or if we discontinue the early access program. You may terminate at any time by uninstalling the Product. Upon termination, your license in Section 2 immediately ends and you must stop using the Product. Your Content (including any automations you authored) remains on your machine; for thirty (30) days after termination you may continue to access the Product in a read-only mode solely to export or migrate Your Content. Sections that by their nature survive termination, including Sections 3 (restrictions), 4 (your content), 7 (feedback), 8 (confidentiality, for two years), 9 (IP), 10 (IP indemnity, for accrued claims), 11 (disclaimer), 12 (export), 13 (liability), 14 (indemnity), 16 (governing law), and 18 (miscellaneous), survive.

16. Governing Law and Disputes

This EULA is governed by the laws of [TBD — governing law, e.g. "the State of Delaware, USA"], without regard to conflict of laws principles, and any dispute arising out of or related to this EULA or the Product will be brought exclusively in [TBD — forum, e.g. "the state and federal courts located in New Castle County, Delaware"]. You and CRAFT each consent to personal jurisdiction and venue in those courts. The UN Convention on Contracts for the International Sale of Goods does not apply.

17. Changes to This EULA

We may update this EULA from time to time. We will post the updated version at this URL with a new version number and effective date. For material changes we will notify active early access participants at least thirty (30) days before the changes take effect. You may stop using the Product before the changes take effect, and the prior version will continue to apply to any rights that accrued under it. Changes will not apply retroactively to disputes that arose before the new effective date.
